Andrey Neminuschiy


Andrey’s main practice areas in the sphere of antitrust regulation are dominance and agreements restricting competition, support for M&A transactions in antitrust bodies, and FAS RF audits. Andrey is experienced in successfully representing clients before the FAS of Russia.

Andrey has participated in projects relating to private investment, change of holding-company governance structure, business optimisation, co-ordination and control both within and outside a company group, and comprehensive support for M&A.

Andrey was selected by peers as one of the best lawyers in Russia in the field of Competition and Antitrust Law, according to Best Lawyers in Russia 2018-2019 Editions


Andrey has participated in the following projects, among others:

  • Advised New Idea Investment Group on the transaction aimed to consolidate the share capital of MODIS FASHION RETAIL GROUP (one of the top 5 Russian fashion retail stores chain), including representation of the client’s interests and full legal support during negotiations with three minority shareholders of the company.
  • Advising and representing the Rolf Group, a major Russian car dealer, on its merger with Pelican Auto (BMW, Nissan and Škoda dealerships in the Moscow Region).
  • Advising a major glass manufacturer on antitrust investigations and state assistance.
  • Advising Barclays Bank on antitrust matters, acting for the bank during a case on breach of the antitrust law.
  • Providing consulting services to METRO Cash&Carry on antitrust matters, acting for the company during cases heard by the FAS RF and its territorial bodies relating to violation of the antitrust legislation.
  • Acted for a major chain retailer before a territorial FAS RF body in view of conclusion of an anti-competition agreement.
  • Supported the Volkswagen Group in identifying and minimising antitrust law risks; legal structuring of business processes.
  • Conducted a comprehensive check on observance of the antitrust legislation for Mars.
  • Conducted a comprehensive verification of the justified utilisation of funds receiving during an additional issue by energy companies.
  • Developed a restructuring plan for a major brewery holding company.
  • Advising and representing Banque federale des Banques populaires, Caisse Nationale des Caisses d’Epargne et de Prevoyance before the FAS of Russia on consolidation of their assets and setting up a Russian JV.
  • Supporting LG International in setting up a Russian JV.
  • Acquisition of a credit institution in favour of the Onexim Group.
  • Developed a new distribution agreement version for General Motors.
  • Due diligence of the Detskiy Mir store chain prior to acquisition of 25% of it by Sberbank of Russia.
  • Advising Prof Media Management, Matra Petroleum, the Onexim Group, and the EBRD on investing in strategic companies.
  • Advising Alfagroup companies on raising private investments.
  • Prepared a step-by-step plan for winding up a subsidiary of Altimo (holding more than 25% of OAO Megafon shares).
  • Advising KIA on individual aspects of supplying spare parts to the RF.
  • Supported acquisitions of stakes in a major Russian bank.
