Andrey Shpak heads Goltsblat BLP Tax Practice. Prior to joining Goltsblat BLP Andrey took a position of a Director in M&A Tax Practice of PricewaterhouseCoopers.

Andrey has 15 years of experience in helping Russian and foreign multinationals streamline their tax and legal structures, assisting clients through all phases of acquisition (due diligence, structuring, completion), as well as in preparation of sale of Russian business to foreign investors. Andrey has been recently focusing on complex multi-territory and private-equity-backed transactions.

He has diverse experience in helping both foreign clients investing into Russia, and Russian clients investing abroad.

Andrey is one of the leading experts in Russia on advising clients on the tax aspects of Share Purchase Agreements (SPA) suggesting the right level of tax warranties and indemnities to be written into the SPA, as well suggesting ways to achieve tax favourable result on any payments envisioned by the SPA.

His primary focus recently has been consumer goods, retail, manufacturing, automotive, as well as telecommunications and media industries.

Andrey graduated with honours from the Finance Academy in Moscow (Russia), and holds a PhD in Accounting from Russian Finance and Economics Institute in Moscow (Russia).

Some recent projects that Andrey Shpak has headed or participated in include:

• Advising on possible acquisition of one of the leading retail chains by a Russian mobile operator.
• Advising on acquisition of a leading pharmaceuticals distributor by a major private equity fund.
• Advising on acquisition of US assets by a leading Russian steel producer.
• Advising on possible acquisition by a leading global food manufacturer of one of the leaders in the Ukrainian market.
• In addition, Andrey has led many successful projects aimed at structuring client’s advertising, promotion and distribution activities in Russia, which included adaptation of distribution agreements, structuring of distribution of point-of-sale materials (POSM) and of provision of incentives to retailers.
• Andrey has also helped adapt numerous cross-border agreements on provision of services to Russian subdivisions of international corporations to the requirements of the Russian tax legislation, which included development of extensive supporting documentation required under Russian tax law and practice.
