13 July 2015 Goltsblat BLP advises Rosimushchestvo on Bashneft shareholder’s agreement
Goltsblat BLP, the Russian practice of the international law firm Berwin Leighton Paisner (BLP), has won an open tender to provide advisory (legal) services to the Federal Property Management Agency (Rosimushchestvo).
Goltsblat BLP's Corporate/M&A Practice will advise Rosimushchestvo on signing a shareholders' agreement with the Republic of Bashkortostan in relation to PAO Joint-Stock Oil Company Bashneft.
The Goltsblat BLP team is led by Anton Sitnikov, Partner, Head of Corporate/M&A, and features Matvey Kaploukhiy, Partner, and Anton Panchenkov, Head of Group, Corporate/M&A.
Anton Sitnikov, Partner, Head of Corporate/M&A Practice at Goltsblat BLP: "This award is a sign of appreciation from Rosimushchestvo which, as you might recall, exercises shareholder rights with respect to federally-owned stocks on behalf of the Russian Federation. This is, first of all, recognition of our many years' experience and knowledge, which we will be happy to draw upon to support this major and prominent deal. I would like to emphasise that the key selection criteria used in the tender were relevant experience in the jurisdictions of the global financial centres (Moscow, London, Frankfurt, Singapore, Hong Kong), of providing legal services to Russian state authorities and entities majority-owned by the state, and of drafting legal opinions for M&As and public offerings on widely recognised global financial exchanges".
Anton Panchenkov, Head of Group, Corporate/M&A at Goltsblat BLP: "We see our involvement in this project as a unique and most exciting experience. Shareholders' agreements between two public entities are as yet very rare for Russian joint ventures and we are proud to be able to contribute to shaping the relevant practices. All the more so since this agreement relates to governance of such a significant asset as Bashneft, being of great importance to the state".
The Goltsblat BLP Corporate/M&A Practice is one of the firm's key workstreams. It includes 6 partners and 17 other lawyers, making it one of the biggest specialist teams in Russia. The global Corporate Practice consists of more than 230 lawyers, most of them based in London and Moscow, with others in BLP offices in Abu Dhabi, Beijing, Berlin, Brussels, Dubai, Frankfurt, Hong Kong, Paris and Singapore.
