For a long time now, we have been acting as in-house legal counsel for Mars, Inc. in Russia. We provide immediate legal support for all business projects and transactions with product consumers undertaken by the corporation.

Structuring contractual relations on instructions from Electrolux Rus for its Russia-based facilities manufacturing Zanussi products. We proposed a system of contracts and subcontracts drafted by our lawyers and implemented by the client.

Assisting Barilla in concluding an agreement on organising production in Russia, jointly with a Russian partner, of foodstuffs under the Barilla trade mark and developing a model distribution agreement to assist the company’s operations on the Russian market.

On instructions from the Impress Group, we provided the comprehensive legal support for settlement of the debt of the Group’s Russian partner. The deal involved purchase of the Russian partner’s share in the joint business, acquisition of properties and termination of all business transactions involving the Group by the customer and the partner. Once this deal was completed, our client was able to develop its business in Russia independently, protected by legal guarantees.

Drafting of contract templates for Guardian for procurement of goods, works and services on the Russian market and supplies of finished goods in Russia and other CIS countries.

Legal due diligence of Kronospan manufacturing company’s operations to determine whether the company holds all the permits, licences, certificates and other requisite documentation for doing  business.

Advising Optima Holding GmbH of Germany on creating a centre for hadron/proton therapy jointly with the Russian State Oncological Scientific Centre named after N.N. Blokin.

Advising Pfizer International LLC on liaising with the antimonopoly authorities in connection with an information request from the latter. 

Developing a documentation system for sale of a set of materials for construction prefabrecated country houses for Castorama. We also assessed the seller’s risks in the event of any accidents occurring during assembly and use of the houses.

On instructions from Metro Cash&Carry Ltd, analysing a sample product supply contract with respect to compliance by certain of its provisions with antimonopoly laws. In addition to recommendations on mitigating antimonopoly risks, we also proposed arguments for use in discussions with the antimonopoly authority to justify that certain contractual provisions are lawful and comply with the law.

Legal support for a transaction involving the supply to Russia and distribution through network retailers of products under the New Look brand. We also arranged for legal protection of the owner's rights to the New Look trade mark in Russia.

Advising Loyalty Partners Vostok on the risks associated with implementing the Malina discount programme. We provided recommendations on the structure of contractual relations between the programme organiser, agents and participants and advised on recommended programme conditions.

Development of model lease documentation for Cisco Capital. We also developed and implemented documentation supporting supplies of products under the “Cisco” brand to holders of natural monopolies using quasi-lease schemes.

Structuring contractual ties for implementing the Yandex.Money online payment system. We also analysed regulatory aspects and recommended ways to minimise legal exposure for the payment system’s organiser.

Legal support for a transaction involving supply of cartridges to Ukraine and Kazakhstan by Epson. To enable the deal, we engaged the services of our preferred local law firms.

Advising GXS Limited on restructuring the way it provides information technology services in Russia through its Russian agent. The selected structure allowed our client to minimise the regulatory risk associated with the need to obtain licences to conduct certain activities and ensured protection of its  intellectual property rights.

Legal support for a Motorola transaction to supply radio equipment and render related services to a Russian purchaser

Advising OLX on concluding an agreement with a Russian partner on the mutual promotion of services to post free notices and organise auctions on the firm’s website.

Advising TomTom, a leading navigation system producer, on organising sales in Russia through the firm’s representative office. We performed various tasks involved in setting up the representative office, preparing contractual documentation and advising on laws regulating the use of navigation systems in Russia, advertising, antimonopoly and intellectual property law.

Prepared a legal opinion for Mostelecom OJSC on leasing cable television networks, concluding contracts with subscribers, and licence aspects of cablecasting.

Development of an internal anti-money laundering policy for an American-based multinational corporation that designs and sells consumer electronics, communications technology and services.

Advising Gazprom OJSC on an investment project implementation contract. We advised the company on modifying the contract to minimise the tax (VAT deduction), land and civil law risks.

Assistance in developing an agency arrangement between Volkswagen and various Russian regional service centres for marketing events, training, etc.

Advising Nissan on the importation and sale of Euro-2 environmental class cars after 1 January 2008, customs duties and other legal business matters.

Drafting model dealer documentation for Caterpillar in Russia. We also assisted the client in developing a structure for returns by dealers of used spares of Caterpillar machinery for their exportation from Russia and re-manufacturing into new replacement parts.

Advising Air Charter Services on various routine civil and corporate law issues and taxation aspects. We developed model contracts for the aircraft broker and performed tax due diligence of deals  concluded.

Advising Transaero Airlines on the possibilities and implications of withdrawing from lease agreements for Tu-214 aircrafts.

Legal support for a tyre production deal between Goodyear Russia and a Ukrainian manufacturer. We analysed the deal from the viewpoint of both the Russian and the Ukrainian legislation in collaboration with our partners in Ukraine.
